Non-Disclosure Agreement
A mutual NDA is the first thing we sign. Before a scoping call, before a proposal, before we hear anything sensitive. This page summarizes our standard terms.
Mutual
The NDA runs both ways. Whatever you tell us about your business, your product, your finances, or your users is confidential. The same protections apply to anything we share with you during scoping — including our methods, rates, and internal processes.
What counts as confidential
Anything shared verbally, in writing, over Slack, in a document, or over a screen share during the engagement. We treat everything as confidential by default, whether or not it's marked as such. The usual exceptions apply: information already public, information already known to us, information independently developed, and information legally compelled by a court.
Duration
Five years from the date of disclosure, and in perpetuity for anything that reasonably qualifies as a trade secret. Extensions are negotiable and we've signed longer terms for particular engagements.
Scope of people
Only the Outsourcify / Neuvo team members actually assigned to your engagement see your confidential information. Everyone on our team has signed internal NDAs that match or exceed the one we sign with you. We don't subcontract work to people outside our ISO-certified delivery team.
If the engagement doesn't happen
If we scope a project and it doesn't proceed, the NDA still applies. You can ask us at any time to return or destroy anything you've shared with us, and we'll do it in writing within seven days.
Your NDA or ours
We're happy to sign your template or send you ours. Most clients prefer to use their own; that's fine by us. If our lawyers flag anything unusual, we'll tell you before signing.
